Terms of Service
1. Acceptance
By creating an account or using iri Notes you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the service.
2. The service
iri Notes ("iri") is a shared memory layer for human teams and the AI agents they work with. We ingest documents, chunk and index them, and surface answers via search and AI-generated briefings. The service is provided as-is during the current public preview.
3. Your account
- You must be at least 14 years old (Korea) or 16 (EU). One account per person; you can join multiple workspaces under one account.
- You are responsible for your credentials. Notify us immediately at hello@iri-ai.com if you suspect a compromise.
- You are responsible for the activity of any API key you issue under your workspace.
4. Your content
You own your content. By uploading content to iri you grant us a non-exclusive license to host, process, transmit, display, and analyse it solely to operate and improve the service for you (including running LLM inference on your behalf — see Privacy §4). We do not claim ownership and do not authorise our subprocessors to use your content for model training.
You are responsible for ensuring you have the right to upload what you upload. Do not upload anyone else's confidential content without permission.
5. Acceptable use
You may not use iri to:
- Break the law, violate someone else's rights (privacy, IP, etc.), or aid harassment.
- Upload malware, attempt to compromise the service, or interfere with other users.
- Train competing models on iri's outputs (the AI-generated briefings, atom extractions, embeddings).
- Resell the service or run a competing memory-layer offering on top of our API without a written agreement.
We can suspend or terminate accounts that misuse the service. We aim to give notice unless the abuse is ongoing and serious.
6. AI output
iri's AI features (briefings, summaries, "Ask", atom extraction) are best-effort. Outputs may be incorrect, incomplete, or hallucinate. You are responsible for verifying anything you act on. AI output that closely resembles your own content remains yours; outputs that synthesise across multiple sources are licensed back to you under the same scope as your content.
7. Subscription and billing
Today the service is in public preview and free. Paid plans will be announced separately and will not retroactively apply to data you put in during the preview. We will give 30 days' notice before any plan change becomes mandatory.
8. Termination
- You can delete your account at any time from Dashboard → Account (see Privacy §7 for retention).
- We can suspend or terminate accounts for material breach of these Terms. Honest mistakes get a warning first.
- Sections 4 (content rights), 9 (disclaimers), 10 (liability), 11 (jurisdiction) survive termination.
9. Disclaimer
The service is provided "as is" and "as available". To the maximum extent allowed by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI outputs will be accurate.
10. Limitation of liability
To the maximum extent allowed by law, our aggregate liability arising from or relating to the service in any 12-month period is limited to the greater of (a) the amount you paid us in that period and (b) USD 50. We are not liable for indirect, incidental, consequential, or punitive damages. Nothing in these Terms limits liability for matters that cannot be limited under applicable law (e.g., gross negligence, wilful misconduct).
11. Governing law and venue
These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-laws principles. Any dispute is exclusively submitted to the Seoul Central District Court (서울중앙지방법원) as the court of first instance, unless mandatory consumer-protection law in your country of residence provides otherwise.
12. Changes
We post material changes here and notify active accounts by email. If a change materially reduces your rights, we will give 30 days' notice before it takes effect; continued use after that is acceptance.
